Spendes is a tool that helps you track and split expenses and keep a record of who owes whom. It is not a bank or a payment app — it doesn’t hold or move your money. When you settle up, you pay through your own UPI app. The balances in Spendes are records for your reference, not a legally binding ledger, and you’re responsible for the actual payments between you and your friends.
1. Acceptance of these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Spendes [legal entity name] (“Spendes”, “we”, “us”) governing your use of the Spendes mobile app and related services (the “Service”).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use Spendes.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract under Indian law to use Spendes. By using the Service, you confirm that you meet these requirements and that the information you provide is accurate.
3. What Spendes is — and what it isn’t
Spendes is a personal and social expense-tracking and bill-splitting tool. It helps you record what you spend, split costs with friends and groups, see balances and insights, and launch a UPI payment in your own UPI app to settle up.
Spendes is not:
- a bank, non-banking financial company (NBFC), e-wallet, or payment system;
- a payment aggregator, payment gateway, or money-transfer service;
- a provider of financial, investment, tax, accounting or legal advice.
We do not hold, transmit, or settle funds, and we are not a party to any debt, loan, or payment obligation between you and anyone else. Insights, budgets, goal projections and similar features are informational only — they’re not professional advice, and you should make your own decisions (and consult a qualified professional where appropriate).
4. Your account
You sign in using your mobile number and a one-time password (OTP). You are responsible for:
- keeping access to your phone number and device secure;
- all activity that happens under your account;
- providing accurate account information and keeping it up to date.
Notify us at support@spendes.app if you suspect unauthorised use of your account. We may suspend or limit accounts to protect the Service or its users.
5. Splits, balances & settling up
When you add expenses and splits, Spendes calculates balances based on the information you and other members enter. These balances are a convenience and a record — they reflect what people have recorded, and they may be wrong if the underlying entries are wrong.
- Marking an amount as “settled” records that you consider it settled; it is not proof that money was actually sent or received.
- Spendes does not verify, guarantee, or enforce any payment between users.
- Any dispute about who owes what, or whether a payment was made, is between you and the other people involved. Spendes is not responsible for resolving it, though features like notifications and dispute flags may help you communicate.
6. UPI & payments
The “Settle up via UPI” feature opens a third-party UPI app of your choice with payee and amount details pre-filled. The actual payment is made by you, inside that UPI app, and is governed by that app’s and your bank’s terms and by NPCI’s UPI rules. Spendes:
- never asks for, sees, or stores your UPI PIN, bank credentials, or card details;
- is not responsible for failed, delayed, duplicated, or incorrect payments, or for funds sent to the wrong person;
- does not provide refunds for, and cannot reverse, any UPI payment — those are handled by your bank/UPI app.
Always double-check the payee and amount in your UPI app before confirming a payment.
7. Adding people & invitations
Spendes lets you add friends and group members, including from your device contacts, and invite people via your own messaging apps. By adding someone’s details (such as their name and phone number), you confirm that you’re entitled to share that information with us for this purpose and that you’ll use the invite features responsibly. Don’t use Spendes to send spam or unwanted messages.
8. Your content & accuracy
You own the data you put into Spendes (your “Content”). You grant us a limited licence to host, process and display that Content as needed to operate the Service for you and the people you share with. You’re responsible for the accuracy of what you enter; Spendes isn’t liable for decisions you make based on data you (or others) recorded.
9. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or abusive purpose, including money laundering or harassment;
- upload content that is unlawful, infringing, or violates someone else’s rights;
- attempt to access accounts or data that aren’t yours, or probe, scan, or breach security;
- reverse engineer, scrape, overload, or interfere with the Service or its infrastructure;
- misuse the contacts/invite features to send spam.
10. Pro & subscriptions
Core features of Spendes are currently free. We may offer paid plans or features (“Pro”) in the future. If we do, any purchases will be billed through the applicable app store (Apple App Store or Google Play) under their terms, and the price, billing cycle, and what’s included will be shown to you before you buy. Subscriptions renew unless cancelled through your app-store account; refunds are handled per the app store’s policies. We may change Pro pricing or features on a going-forward basis with notice.
11. Intellectual property
The Spendes app, brand, logo, design, and software are owned by Spendes and protected by intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial use, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly allowed.
12. Third-party services
Spendes relies on and links to third-party services (such as UPI apps, your device’s contacts and notification systems, and our infrastructure and push-notification providers). We don’t control those services and aren’t responsible for them; your use of them is governed by their own terms and privacy policies.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that calculations, balances, or insights will be accurate or complete. You use the Service at your own discretion and risk.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPENDES AND ITS DIRECTORS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR MONEY — INCLUDING ANY PAYMENT MADE OR NOT MADE BETWEEN YOU AND ANOTHER USER — ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. To the extent we are found liable despite the above, our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) ₹1,000. Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.
15. Indemnification
You agree to indemnify and hold Spendes harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, your Content, or your infringement of any law or third-party right (including the rights of people whose details you add to Spendes).
16. Termination
You can stop using Spendes and delete your account at any time (see Deleting your data). We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and governing law) will survive.
17. Changes to the Service or Terms
We’re continually improving Spendes and may add, change, or remove features. We may also update these Terms from time to time; when changes are material, we’ll update the “Last updated” date and, where appropriate, notify you in the app. Continuing to use the Service after changes take effect means you accept the updated Terms.
18. Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to applicable law, you agree that the courts at [Your City], India, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
